Terms and Conditions

Welcome to the JSI Distribute App (the “App”), operated by J. Sam INDUSTRY (“we”, “our”, “us”). These Terms and Conditions (“Terms”) govern your access to and use of our App, website, and related services.

By downloading, registering, or using the App, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, please do not use the App.

1. Eligibility

• You must be at least 13 years old to use this App.
• By using the App, you confirm that you have the legal capacity to enter into this agreement.
• If you are using the App on behalf of an organization or artist group, you confirm that you have the authority to bind them to these Terms.

2. Account Registration

• You must create an account to access certain features.
• You are responsible for maintaining the confidentiality of your login credentials.
• You agree to provide accurate, current, and complete information.
• We reserve the right to suspend or terminate accounts that provide false or misleading information.

3. Music Distribution Services

• The App allows artists to upload and distribute music content to third-party digital streaming platforms (DSPs).
• Distribution timelines may vary. Minimum distribution time is 10 days, depending on platform review processes.
• We do not guarantee acceptance by any DSP.
• Once content has been submitted for distribution, it may not be editable or removable immediately.

4. Content Ownership & Rights

• You retain full ownership of your music, videos, artwork, and other uploaded content.
• By uploading content, you grant J. Sam INDUSTRY a non-exclusive, worldwide, royalty-free license to distribute, display, promote, and monetize the content strictly for the purpose of providing our services.
• You confirm that you own all rights to the content or have obtained proper permissions.

5. Beat Usage, Copyright & Content Integrity (Strict Policy)

To protect artists and ensure long-term platform compliance, J. Sam INDUSTRY enforces a strict beat and copyright policy.

By uploading any content, you agree that:

• You must not upload beats downloaded online or purchased beats that are reused, recycled, or sold to multiple artists, even if a license was provided.
• If a producer intends to use the same beat for another artist, you must not submit that beat through our platform.
• You must not use beats already used by well-known or celebrity artists, whether modified or unmodified.
• Any beat downloaded from YouTube or other platforms must be fully recreated from scratch before submission.
• The safest and recommended approach is to create original beats, generate beats independently, or fully recreate reference beats.

We do not encourage the use of downloaded or licensed beats, as they often result in copyright conflicts, store rejections, takedowns, or revenue loss.

J. Sam INDUSTRY reserves the right to reject, remove, or take down any content suspected or confirmed to violate copyright, even after distribution.

6. Prohibited Content

You agree not to upload content that:

• Infringes on copyrights, trademarks, or intellectual property rights
• Contains hate speech, harassment, or explicit violence
• Is unlawful, misleading, or fraudulent
• Violates platform or DSP policies

We reserve the right to remove such content and take appropriate action, including account suspension or termination.

7. Payments, Fees & Refund Policy

• Some services require one-time or recurring payments.
• All fees are clearly displayed before payment.
• All distribution fees are non-refundable once processing has begun.
• Replacing audio of a rejected copyrighted song is treated as a new release and requires a new payment.
• Artists are entitled to 100% of their royalties, subject to third-party platform deductions and applicable taxes.
• Payment processing and withdrawals may take up to 48 hours or more, depending on the payment provider.

8. AI-Generated Content Policy

We generally do not distribute or work with AI-generated content. However, in limited and exceptional cases, AI-assisted or AI-generated content may be accepted for distribution at our sole discretion, subject to the conditions below.

Any AI-generated or AI-assisted content submitted must not:

• Imitate, replicate, or intentionally sound like any existing artist, performer, voice, style, or copyrighted work
• Infringe on intellectual property rights, publicity rights, or likeness rights of any individual or entity
• Be designed to mislead listeners into believing it is created or performed by a real or identifiable artist

For compliance, legal, and platform-specific policy reasons, AI-generated content will NOT be delivered to the following Digital Service Providers (DSPs):

• Apple Music
• TikTok
• Meta / Facebook (including Instagram services)
• Content ID systems (including YouTube Content ID)

By submitting content, you confirm that:

• You have full rights and authorization to distribute the content
• You have accurately disclosed any use of AI in the creation of the audio, vocals, or artwork
• You accept that AI-generated content may be restricted, rejected, removed, or taken down without prior notice if it violates platform rules or our internal policies

We reserve the right to refuse, suspend, or remove any content that breaches this policy or creates legal, ethical, or platform-compliance risks.

9. Promotions & Visibility

• Promotional features may improve visibility but do not guarantee streams, downloads, chart placement, or revenue.
• Any manipulation, artificial streaming, or promotional abuse may result in suspension or termination.

10. Distribution Policies & Metadata Responsibility

1. Metadata Responsibility

J. Sam Industry operates as a self-service distribution platform. (A self-service distribution platform is a system where users independently upload, manage, and control their music releases without direct intervention from the platform administrators.)
All metadata submitted during the upload process — including but not limited to artist name, song title, featured artists, release date, genre, artwork, and other details — are solely the responsibility of the user (artist/label).

J. Sam Industry:

• Does NOT edit, or modify metadata submissions
• Does NOT interfere with release details after submission
• Will only access or modify metadata in rare cases, and strictly:
  • With explicit user permission, or
  • When required for compliance, legal, or platform-related issues

2. No Manual Edits Policy (Pay-As-You-Go Plans)

For all one-time payment plans, including:

• Single Distribution Plan (₦5,000)
• EP Distribution Plan (₦15,000)
• Album Distribution Plan (₦18,000)

These plans operate on a pay-as-you-go, one-time submission basis.

Once a release has been submitted and processed:

• ❌ Manual edits or corrections are NOT supported
• ❌ Metadata updates cannot be made after submission

If a user wishes to make any corrections (e.g. title, artwork, artist name, etc.):

• The user must:
  1. Create a new submission (input isrc and UPC if available)
  2. Make a new payment
  3. Take down the previous existing release
• The new upload will be treated as a completely new release

3. Stream & Royalty Transfer

Users may choose to retain their existing performance data by:

• Reusing the same ISRC (International Standard Recording Code)
• Using the same UPC (Universal Product Code)

This allows:

• Transfer of streams (where supported by stores)
• Retention of royalty tracking continuity

However:

• J. Sam Industry does not guarantee that all platforms will merge or transfer data
• This process depends on third-party store policies (e.g., DSPs like Spotify, Apple Music, Boomplay, etc.)

4. Unlimited Distribution Plan (Subscription Users)

Users subscribed to the Unlimited Distribution Plan are granted additional flexibility:

• ✅ Ability to upload corrected versions without additional payment
• ✅ No extra charge for re-uploads or updates (within active subscription period)

However:

• Users are still responsible for ensuring metadata accuracy
• The platform still does not manually edit metadata

5. Final Responsibility

By using J. Sam Industry:

• You acknowledge that all submissions are final upon upload
• You accept full responsibility for any errors in your release
• You agree to follow the re-upload policy for any corrections

Unlimited Monthly Distribution Subscription

The Unlimited Monthly Distribution Subscription is a recurring membership service that allows eligible artists to distribute an unlimited number of Singles, EPs, and Albums during their active subscription period.

By subscribing to this plan, you agree to the following:

1. Your subscription is billed monthly and remains active until cancelled or terminated.
2. Your subscription grants distribution access for one (1) registered artist only. Sharing your subscription or uploading music for other artists is not permitted unless expressly approved by JSI DISTRIBUTE.
3. A one-time Artist Registration is required before your first release. Once completed, you will not be required to register again for future renewals using the same account.
4. While your subscription is active, you may submit unlimited Singles, EPs, and Albums, subject to JSI DISTRIBUTE’s review process and the content policies of our digital streaming partners.
5. If your subscription expires or a renewal payment fails, your upload privileges will be suspended immediately. Existing releases will remain live during a five (5) day grace period, allowing you to renew your subscription without interruption.
6. If your subscription is not renewed before the grace period ends, releases distributed under the Unlimited Monthly Distribution plan may be scheduled for removal from digital streaming platforms. Processing times for takedowns may vary depending on each platform.
7. During the five (5) day grace period, you may request to convert selected releases to JSI DISTRIBUTE’s One-Time Distribution service by contacting support@jsamindustry.com.ng and paying the applicable one-time distribution fee. Only approved and fully paid conversions will remain available after the grace period.
8. Royalties earned before a release is removed will continue to be processed in accordance with JSI DISTRIBUTE’s Royalty Policy. No additional royalties will accrue after a release has been removed from streaming platforms.
9. JSI DISTRIBUTE reserves the right to suspend or terminate any subscription that is used for fraudulent activity, copyright infringement, artificial streaming, misleading metadata, or any violation of our platform policies or those of our digital streaming partners.
10. JSI DISTRIBUTE may amend the features, pricing, or benefits of the Unlimited Monthly Distribution Subscription from time to time. Any material changes will be communicated to subscribers in advance where reasonably practicable.

11. Account Suspension & Termination

We reserve the right to suspend or terminate accounts if:

• These Terms are violated
• Fraudulent, misleading, or illegal activity is detected
• Required by law or third-party platforms

Termination will result in loss of access to content, earnings, and services.

J. Sam INDUSTRY maintains a strict zero-tolerance policy regarding artist impersonation, artist profile hijacking, fraudulent profile mapping, and unauthorized use of artist identities.

By submitting content for distribution, you represent and warrant that:

* You are the artist, rights holder, authorized representative, or authorized label for the artist named in the release.

* You have full legal authority to distribute content under the artist name provided.

* Any artist profile links, URIs, profile IDs, or platform mappings submitted belong to you or are used with proper authorization.

* You are not attempting to distribute content under the identity, profile, brand, name, likeness, or catalog of another artist without authorization.

The following activities are strictly prohibited:

* Mapping releases to artist profiles that you do not own, control, manage, or represent.

* Using another artist’s Spotify, Apple Music, YouTube, Boomplay, Audiomack, Deezer, TikTok, or other DSP profile for release placement.

* Submitting content intended to appear on another artist’s profile without authorization.

* Impersonating artists, labels, management companies, rights holders, estates, or representatives.

* Providing false, misleading, or fraudulent artist information during submission.

J. Sam INDUSTRY reserves the right to request proof of ownership or authorization at any time, including but not limited to:

* Verification through official artist channels.

* Access verification through platform-specific artist tools.

* Documentation from the artist, label, management, or rights holder.

* Any other evidence deemed necessary by J. Sam INDUSTRY.

Violation of this policy may result in any or all of the following actions without prior notice:

* Immediate rejection of the release.

* Immediate removal or takedown of distributed content.

* Permanent termination of the user account.

* Forfeiture of unpaid royalties and earnings pending investigation.

* Reporting the activity to affected DSPs, rights holders, distributors, or relevant authorities where appropriate.

Artist impersonation, fraudulent profile mapping, and unauthorized use of artist identities are considered material violations of these Terms and may result in immediate and permanent account termination without warning.

Artificial Streaming, Stream Farming & Fraudulent Activity

J. Sam INDUSTRY maintains a strict zero-tolerance policy against artificial streaming, stream farming, and any fraudulent activity intended to manipulate music platform statistics, royalties, charts, playlists, or audience engagement.

The following activities are strictly prohibited:

• Purchasing streams, followers, listeners, playlist placements, likes, saves, or engagement from any third party.
• Using bots, automated software, click farms, stream farms, VPN farms, scripts, or artificial traffic generation services.
• Repeatedly streaming your own music or encouraging others to do so solely for the purpose of inflating stream counts or royalties.
• Creating multiple accounts or devices to generate artificial streams.
• Participating in “stream exchange” groups, paid listening schemes, reward-based streaming programs, or any activity that violates the policies of streaming platforms.
• Any activity that results in invalid, fraudulent, or suspicious streaming behavior as determined by J. Sam INDUSTRY, digital service providers (DSPs), or royalty collection partners.

Enforcement & Account Termination

If J. Sam INDUSTRY detects, receives reports of, or is notified by any DSP, distributor, royalty partner, or rights holder of suspected artificial streaming or fraudulent activity, we reserve the right to:

• Immediately suspend or terminate the artist’s account without prior notice.
• Remove any affected releases from distribution.
• Withhold, reverse, or cancel royalty payments associated with fraudulent streams.
• Reject future distribution requests from the artist.
• Permanently ban the artist from using any J. Sam INDUSTRY services.

No Refund Policy

Artists whose accounts are suspended or terminated due to artificial streaming, stream farming, bot activity, or other fraudulent practices shall not be entitled to any refund of subscription fees, distribution fees, promotional fees, or any other payments made to J. Sam INDUSTRY.

Liability

Artists are solely responsible for all promotional activities conducted on their behalf. Claiming ignorance, hiring a third-party promoter, or delegating marketing activities to another individual or company shall not exempt the artist from liability for artificial streaming violations.

11.1 Effect of Content Takedown, Account Suspension, or Termination

Where any release is taken down, removed from distribution, suspended, or where a user’s account is suspended or terminated for any reason, the affected content shall immediately cease to participate in royalty collection, reporting, and related services through J. Sam INDUSTRY.

Upon such takedown, suspension, or termination:

• Royalty reports for the affected release(s) may no longer be generated, updated, or made available.
• Streaming statistics, sales reports, analytics, and performance data may cease to be received or displayed.
• No future royalty statements, payment reports, or royalty payouts shall be generated or processed for the affected release(s), except where royalties were validly earned, received by J. Sam INDUSTRY, and approved for payment before the effective date of the takedown or termination.
• J. Sam INDUSTRY shall not be liable for any royalties, streams, earnings, reports, analytics, or payments that are withheld, reversed, rejected, discontinued, or otherwise affected by Digital Service Providers (DSPs), payment processors, royalty collection partners, or other third parties following a takedown, suspension, or termination.
• Artists acknowledge and agree that Digital Service Providers may permanently discontinue royalty reporting, streaming data, analytics, and earnings for removed content, and J. Sam INDUSTRY has no control over such third-party decisions.

For the avoidance of doubt, once a release has been taken down or an account has been suspended or terminated, artists must not expect any further royalty reports, streaming reports, analytics, payment reports, or royalty payouts relating to the affected release(s), unless J. Sam INDUSTRY expressly confirms in writing that such earnings remain payable.

11.2 Royalty Reporting, Streaming Data & Third-Party Reporting

J. Sam INDUSTRY does not calculate, modify, edit, manipulate, or influence royalty reports, streaming statistics, sales data, analytics, or earnings received from Digital Service Providers (DSPs) or royalty collection partners.

All royalty reports, streaming data, analytics, earnings, and payment information displayed within the J. Sam INDUSTRY platform are automatically transmitted by third-party Digital Service Providers (DSPs), royalty collection partners, and payment providers, and are displayed to users exactly as received.

J. Sam INDUSTRY does not alter, increase, decrease, delay, filter, or withhold royalty reports, streaming statistics, analytics, or earnings except where required by law, these Terms, or as instructed by the relevant DSP, distributor, royalty collection partner, or payment provider.

Artists acknowledge and agree that all royalty calculations, streaming counts, sales reporting, deductions, adjustments, reversals, and payment determinations are made solely by the applicable Digital Service Provider (DSP), distributor, royalty collection partner, or payment provider.

If an artist believes that any royalty report, streaming data, analytics, earnings, or payment information is incomplete, inaccurate, delayed, missing, or otherwise incorrect, the artist must direct such inquiry or dispute to the relevant Digital Service Provider (DSP), royalty collection partner, or payment provider responsible for generating the data. J. Sam INDUSTRY shall not be liable for any discrepancies, omissions, delays, adjustments, reversals, or inaccuracies in third-party royalty reports, streaming data, analytics, or earnings.

By using our services, you acknowledge and agree that J. Sam INDUSTRY acts solely as a distribution and reporting intermediary and makes no warranty or guarantee regarding the accuracy, completeness, timing, or availability of royalty reports, streaming statistics, analytics, earnings, or payment information supplied by third parties.

Where a release has been taken down, removed from distribution, suspended, or otherwise made unavailable on any Digital Service Provider (DSP), J. Sam INDUSTRY shall have no obligation to provide, recover, generate, or obtain any further royalty reports, streaming statistics, analytics, sales data, earnings reports, or payment information relating to that release.

Artists acknowledge and agree that once a release has been taken down, Digital Service Providers (DSPs), distributors, royalty collection partners, or payment providers may discontinue the generation, transmission, or availability of royalty reports, streaming data, analytics, and earnings. J. Sam INDUSTRY has no control over these third-party reporting systems and shall not be liable for the absence, discontinuation, delay, or unavailability of such data.

Accordingly, artists must not request, demand, or expect J. Sam INDUSTRY to provide royalty reports, streaming statistics, analytics, earnings information, or payment reports for any release that has been taken down, removed, suspended, or terminated, except where such information has already been received by J. Sam INDUSTRY from the relevant third-party provider prior to the effective date of the takedown and is legally available for reporting.

12. Limitation of Liability

To the fullest extent permitted by law:

• J. Sam INDUSTRY shall not be liable for indirect, incidental, or consequential damages.
• We are not responsible for losses caused by DSP decisions, delays, rejections, or removals.
• Use of the App is entirely at your own risk.

13. Disclaimer

• Services are provided on an “as-is” and “as-available” basis.
• We do not guarantee uninterrupted, error-free, or continuous service.

14. Changes to Services or Terms

• We may modify these Terms or services at any time.
• Updated Terms will be posted within the App or on our website.
• Continued use of the App after changes constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.
